Terms of Service

1. Acceptance

By creating an account or using any part of the Memobase service (the "Service"), you agree to these Terms of Service ("Terms"). If you do not agree, do not use the Service.

2. The Service

Memobase provides a persistent memory layer for AI agents via the Model Context Protocol (MCP). The Service allows AI agents to store, search, and delete text memories on your behalf. Features and availability may change at any time with reasonable notice.

3. Accounts

  • You must provide accurate information when creating an account.
  • You are responsible for maintaining the security of your account credentials.
  • You may not share your account or allow others to access the Service using your credentials.
  • You must be at least 13 years old to use the Service.

4. Acceptable use

You agree not to use the Service to store or process:

  • Personal data of third parties without their consent.
  • Content that is illegal, harmful, abusive, hateful, or violates any applicable law.
  • Passwords, private keys, or other credentials.
  • Content that infringes the intellectual property rights of others.

You also agree not to attempt to circumvent rate limits, reverse-engineer the Service, or use it in a way that could harm other users or the infrastructure.

5. Billing and subscriptions

  • The Free plan includes 50 operations per month at no charge.
  • Paid plans (Pro, Unlimited) are billed monthly via Stripe. Prices are shown on the pricing page.
  • Subscriptions renew automatically unless cancelled before the renewal date.
  • Operation counts reset on the first day of each calendar month.
  • Refunds are offered at our discretion. Contact us within 7 days of a charge if you believe it was made in error.
  • We reserve the right to change pricing with 30 days' notice. Continued use after a price change constitutes acceptance.

6. Your content

You retain ownership of all content you store in Memobase. By using the Service, you grant us a limited, non-exclusive licence to store, process, and transmit your content solely to provide the Service. We do not claim any ownership rights over your memories.

7. Service availability

We aim for high availability but do not guarantee uninterrupted access. The Service is provided "as is". We may perform maintenance that temporarily affects availability and will aim to give advance notice for planned downtime.

8. Limitation of liability

To the maximum extent permitted by law, Memobase shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of data, profits, or business, arising from your use of or inability to use the Service, even if we have been advised of the possibility of such damages.

Our total liability to you for any claim arising from these Terms or the Service shall not exceed the amount you paid us in the 3 months preceding the claim.

9. Disclaimer of warranties

The Service is provided "as is" and "as available" without warranties of any kind, express or implied, including but not limited to merchantability, fitness for a particular purpose, or non-infringement.

10. Termination

You may cancel your account at any time. We may suspend or terminate your access if you violate these Terms, with or without notice depending on the severity of the violation. Upon termination, your data will be deleted within 30 days unless retention is required by law.

11. Changes to these terms

We may update these Terms from time to time. We will post the updated Terms on this page and update the "last updated" date. For material changes, we will provide at least 14 days' notice. Continued use of the Service after the effective date of changes constitutes acceptance.

12. Governing law

These Terms are governed by and construed in accordance with applicable law. Any disputes shall be resolved through binding arbitration or in the courts of competent jurisdiction.
